If either party materially breaches the agreement, the other party can terminate the agreement by giving written notice describing the breach so that the defaulting party has an opportunity to remedy the situation.

If either Zeroth or Contractor materially breaches any of its obligations under this Services Agreement, the other Party shall have the right to terminate this Services Agreement by giving written notice describing such breach and setting forth its intention to terminate. This Services Agreement shall automatically terminate 30 days after receipt of such notice by the defaulting Party unless the defaulting Party cures such breach within such time period. Contractor shall finish work under any active SOW unless SOW has also been terminated.
