The Contractor agrees to defend and indemnify Zeroth against all damages and costs arising from third-party claims related to Deliverables or Documentation that infringe on third-party rights so that Zeroth is protected from legal liabilities.

Contractor agrees to defend and indemnify Zeroth against all damages, costs, liabilities, expenses and settlement amounts finally awarded against Zeroth in connection with any claim or action by any third party. Contractor’s indemnification obligations hereunder are expressly conditioned upon Zeroth’s giving Contractor prompt written notice of any such claim. Contractor’s indemnification obligations apply irrespective of whether Contractor elects to carry its own insurance and irrespective of coverage under Zeroth’s insurance policies.
