In the event one or more of the Deliverables are determined to infringe the rights of a third party, Contractor may modify, replace, obtain a license, or refund for the infringing Deliverable so that Zeroth can continue its operations without legal issues.

In the event one or more of the Deliverables, or portion thereof, are determined to, or are believed by Contractor to, so infringe the rights of a third party, Contractor may, at its sole option and expense: (a) modify the Deliverable(s), or portion thereof, so that they are non-infringing, (b) replace the Deliverable(s), or portion thereof, with non-infringing Deliverable(s) which are functionally equivalent or superior in performance, (c) obtain a license for Zeroth to continue to use the Deliverable(s), or portion thereof, from the allegedly infringed third party, or (d) accept return of the infringing portion of the Deliverable and give Zeroth a refund of the fees paid by Zeroth for such infringing portion of the Deliverable. Contractor may, at its sole option and expense: (a) modify the Deliverable(s), or portion thereof, so that they are non-infringing. Contractor may, at its sole option and expense: (b) replace the Deliverable(s), or portion thereof, with non-infringing Deliverable(s) which are functionally equivalent or superior in performance.
