Contractor must return or certify the destruction of all proprietary or confidential information of Zeroth upon termination of the Services Agreement so that Zeroth’s sensitive information is protected.

Contractor shall promptly return to Zeroth, or at Zeroth’s option, certify to the destruction of, all proprietary or confidential information of Zeroth or Zeroth’s Customer held by Contractor. Contractor acknowledges that it will be necessary for Zeroth and Zeroth’s customers to disclose certain confidential and proprietary information to Contractor in order for Contractor to perform duties under this Agreement. Contractor acknowledges that any disclosure to any third party or any misuse of this proprietary or confidential information would irreparably harm Zeroth and its Customers.
