Contractor agrees to defend and indemnify Zeroth against all damages and liabilities arising from third-party claims related to Deliverables or Documentation that infringe on intellectual property rights so that Zeroth is protected from legal repercussions.

Contractor agrees to defend and indemnify Zeroth against all damages, costs, liabilities, expenses and settlement amounts finally awarded against Zeroth in connection with any claim or action by any third party. Contractor’s indemnification obligations apply irrespective of whether Contractor elects to carry its own insurance and irrespective of coverage under Zeroth’s insurance policies.
