Confidentiality obligations survive termination of the MSA for 3 years and cover any information marked confidential or that a reasonable party would understand to be confidential given the context.

The reasonable-party standard prevents disputes over unmarked information. Exclusions include: information already publicly known, independently developed information, and information received from a third party without restriction.
