Each party indemnifies the other against third-party claims arising from its own gross negligence, willful misconduct, or material breach of the MSA or SOW.

Indemnification is mutual and fault-based. Neither party provides a blanket indemnity. IP indemnification from Zeroth Agents covers claims that PYRANA as delivered infringes a third-party patent, copyright, or trade secret — subject to the liability cap.
