Termination for cause requires written notice specifying the breach and a 15-day cure period before termination is effective, except for payment failures which have a 10-day cure period.

Cure periods give both parties the opportunity to remediate before termination. Payment failures have a shorter cure period given their operational impact. Immediate termination (no cure) is reserved for material IP violation, data breach caused by the other party, or fraud.
