Force majeure events (natural disasters, government actions, cyberattacks outside the party's control, pandemics) suspend performance obligations for up to 60 days, after which either party may terminate without liability.

Force majeure is mutual and requires written notice within 5 business days of the triggering event. The 60-day limit prevents indefinite suspension. Supply chain disruptions and economic downturns are explicitly excluded from force majeure.
